1 Services Overview
Vytros provides web development, design, and digital solutions to clients worldwide. Our services include but are not limited to website development, UI/UX design, web applications, and digital consulting.
2 Acceptance of Terms
By engaging with Vytros services, you acknowledge that you have read, understood, and agree to these Terms of Service. These terms constitute a legally binding agreement between you (the "Client") and Vytros (the "Service Provider").
3 Service Delivery
3.1 Project Scope
Each project will be defined through a written agreement or proposal outlining deliverables, timelines, and pricing. Any changes to the agreed scope may result in additional charges.
3.2 Timeline
Project timelines are estimates and may vary based on complexity, client feedback, and unforeseen circumstances. Vytros will make reasonable efforts to meet agreed-upon deadlines.
3.3 Client Responsibilities
Clients are responsible for providing necessary materials, content, feedback, and access in a timely manner. Delays caused by client inaction may extend project timelines.
4 Payment Terms
4.1 Pricing
All prices are quoted in the currency specified in the project agreement. Prices are subject to change for future projects but will remain fixed for ongoing projects once agreed upon.
4.2 Payment Schedule
Typical payment structures include:
- 50% upfront deposit before project commencement
- 50% upon project completion and delivery
- Alternative milestone-based payments as agreed
4.3 Late Payments
Payments not received within 7 days of the due date may result in project suspension. A late fee of 5% may be applied to overdue invoices.
4.4 Payment Methods
We accept payments via bank transfer, credit/debit cards, PayPal, and other digital payment methods as specified during the transaction.
5 Refund Policy
5.1 Refund Eligibility
Refunds will be considered only under the following circumstances:
- Complete non-delivery of agreed services without justifiable cause
- Delivered product is fundamentally non-functional and cannot be fixed within a reasonable timeframe
- Vytros unilaterally cancels the project before commencement
5.2 Non-Refundable Situations
Refunds will not be provided in the following cases:
- Change of mind or business direction by the client
- Client dissatisfaction with design aesthetics (subjective preferences)
- Work completed according to agreed specifications
- Client-caused delays or lack of cooperation
- Third-party service failures beyond Vytros control
- After final delivery and client acceptance of the project
5.3 Refund Process
Refund requests must be submitted in writing within 14 days of the alleged non-functionality. Vytros will investigate and respond within 7 business days. Approved refunds will be processed within 14–30 business days.
5.4 Partial Refunds
In cases where partial work has been completed, refunds will be prorated based on work delivered versus work outstanding.
6 Intellectual Property Rights
6.1 Ownership Transfer
Upon full payment, the client receives ownership of the final deliverables created specifically for their project, including custom code, designs, and content created by Vytros.
6.2 Pre-existing Materials
Vytros retains ownership of pre-existing code libraries, frameworks, design templates, and methodologies. Clients receive a license to use these materials as part of their delivered project.
6.3 Portfolio Rights
Vytros reserves the right to showcase completed projects in portfolios, case studies, and marketing materials unless explicitly agreed otherwise in writing.
6.4 Third-Party Licenses
Clients are responsible for obtaining necessary licenses for third-party assets (fonts, images, plugins) used in their projects unless otherwise agreed.
7 Confidentiality & Privacy
7.1 Non-Disclosure
Vytros agrees to keep all client information, business strategies, and proprietary data confidential. We will not disclose sensitive information to third parties without client consent.
7.2 Data Protection
We implement industry-standard security measures to protect client data. However, no system is completely secure and we cannot guarantee absolute security.

8 Security Measures
8.1 Website Security
Vytros implements security best practices in all projects, including:
- HTTPS/SSL encryption
- Secure coding practices
- Regular security updates and patches
- Protection against common vulnerabilities
8.2 Client Responsibilities
- Maintaining secure passwords and access credentials
- Regular backups of their websites and data
- Timely installation of security updates (if managing their own hosting)
- Monitoring for suspicious activity
8.3 Security Incidents
Vytros is not liable for security breaches resulting from client negligence, third-party services, or sophisticated attacks beyond industry-standard protection measures.
9 Warranties & Disclaimers
9.1 Limited Warranty
Vytros warrants that services will be performed in a professional manner consistent with industry standards. We provide a 30-day warranty period for bug fixes on delivered projects, where bugs are defined as functionality that does not work as specified in the original agreement.
9.2 "AS IS" Services
Except for the limited warranty above, all services are provided "as is" and "as available" without warranties of any kind, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.3 No Guarantees
Vytros does not guarantee or make representations regarding:
- Business results, increased revenue, or profitability
- Search engine rankings or SEO performance
- Website traffic, conversion rates, or user engagement
- Compatibility with all browsers, devices, or future technology
- 100% uptime or availability (hosting dependent)
10 Limitation of Liability
10.1 Maximum Liability Cap
To the maximum extent permitted by law, Vytros's total aggregate liability for any claims arising from our services shall not exceed the total amount actually paid by the client in the six (6) months preceding the claim.
10.2 Exclusion of Consequential Damages
In no event shall Vytros be liable for indirect, incidental, special, consequential, or punitive damages, including:
- Loss of profits, revenue, or business opportunities
- Loss of data, goodwill, or reputation
- Business interruption or lost savings
- Cost of substitute services or products
- Downtime or unavailability of services
- Claims by third parties
10.3 Client Assumption of Risk
Client acknowledges that use of our services is at the client's sole risk, and that the client is solely responsible for business decisions based on deliverables.
10.4 Third-Party Liability Disclaimer
Vytros shall not be liable for failures, errors, or security breaches of third-party services (hosting, payment processors, APIs, plugins, CDNs, etc.), or for changes to third-party terms, pricing, or service discontinuation.
10.5 Technical Liability Limitations
Vytros is not responsible for security breaches from client negligence, data loss from inadequate backups, performance issues from inadequate hosting, compatibility with legacy browsers, or client modifications to delivered code.
10.6 Force Majeure & External Factors
Vytros shall not be liable for delays or failures due to natural disasters, pandemics, internet outages, government actions, cyber attacks, or any circumstances beyond Vytros's reasonable control.
10.7 Client Indemnification
Client agrees to indemnify and hold harmless Vytros from any claims, damages, or expenses arising from client's use or misuse of services, breach of these terms, violation of any law, or infringement of third-party rights.
10.8 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, Vytros's liability will be limited to the greatest extent permitted by law.
11 Third-Party Services
Projects may incorporate third-party services. Vytros is not responsible for outages or failures of those services, changes to their terms or pricing, service discontinuation, or third-party data breaches.
12 Maintenance & Support
12.1 Post-Launch Support
Basic support for 30 days post-launch is included to address bugs and technical issues related to our work.
12.2 Ongoing Maintenance
Ongoing maintenance, updates, and support beyond the initial 30 days can be arranged through separate maintenance agreements at our prevailing rates.
12.3 Content Updates
Content updates, feature additions, and design changes after project completion are considered new work and will be quoted separately.
13 Project Cancellation
13.1 Client Cancellation
Clients may cancel projects at any time by providing written notice. All work completed to date must be paid for, deposits are non-refundable, and outstanding invoices remain due.
13.2 Vytros Cancellation
Vytros reserves the right to cancel projects if the client breaches these terms, fails to meet payment obligations, provides false information, or requests illegal or unethical work.
14 Dispute Resolution
14.1 Good Faith Resolution
Both parties agree to attempt resolution of disputes through good faith negotiation before pursuing legal action.
14.2 Mediation
If direct negotiation fails, parties agree to pursue mediation before litigation.
14.3 Governing Law
These terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of courts in Uttarakhand, India.
15 Force Majeure
Vytros shall not be liable for delays or failure to perform due to circumstances beyond reasonable control, including natural disasters, pandemics, internet outages, government actions, or other force majeure events.
16 Modifications to Terms
Vytros reserves the right to modify these Terms of Service at any time. Updated terms will be posted on our website with a new effective date. Continued use of our services after changes constitutes acceptance of modified terms.
17 Severability
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
18 Entire Agreement
These Terms of Service, together with any project agreements or proposals, constitute the entire agreement between the client and Vytros and supersede all prior agreements and understandings.
